BROKER AND DEAL HUNTER NON-DISCLOSURE AND CONFIDENTIALITY AGREEMENT This Broker and Deal Hunter Non-Disclosure and Confidentiality Agreement (this "Agreement") is entered into between Prime Acquisitions Group LLC, a Wyoming limited liability company ("PAG"), and the undersigned individual or entity ("Deal Hunter"). 1. CONFIDENTIAL INFORMATION. "Confidential Information" means all non-public information disclosed by PAG, its buyers, sellers, or affiliates to Deal Hunter, including but not limited to: business names, owner identities, financials, customer lists, pricing, deal terms, buyer profiles, buyer contact information, and proprietary deal flow. 2. OBLIGATIONS. Deal Hunter shall: (a) hold all Confidential Information in strict confidence; (b) use Confidential Information solely to source, qualify, and submit deals to PAG; (c) not disclose Confidential Information to any third party without PAG's prior written consent; and (d) not contact PAG buyers directly outside the DealMatchify platform. 3. NO CIRCUMVENTION. Deal Hunter shall not, directly or indirectly, circumvent, bypass, or compete with PAG by introducing PAG buyers to PAG sellers, or vice versa, outside of the DealMatchify platform. Any such circumvention voids any commission or referral fee owed to Deal Hunter and may result in legal action. 4. EXCLUSIVITY OF DEAL FLOW. Deals submitted by Deal Hunter through the DealMatchify platform are routed exclusively through PAG. Deal Hunter shall not double-list, broker, or shop the same deal to any other buyer pool while it is under active engagement with PAG. 5. ACCURATE REPRESENTATION. Deal Hunter represents that all information submitted about a seller, business, or deal is accurate to the best of Deal Hunter's knowledge and that Deal Hunter has the right or seller's permission to submit it. 6. COMPENSATION. Commissions and referral fees are governed by separate written agreements between PAG and Deal Hunter. No commission is owed unless a deal closes through PAG and the corresponding agreement is executed. 7. TERM. This Agreement is effective as of the date of acceptance and shall continue for a period of three (3) years thereafter, or until terminated in writing by either party. Confidentiality obligations survive termination. 8. REMEDIES. Deal Hunter acknowledges that breach of this Agreement may cause irreparable harm to PAG and that PAG is entitled to injunctive relief in addition to any other remedies available at law or equity. 9. GOVERNING LAW. This Agreement is governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any disputes shall be resolved by binding arbitration administered by the American Arbitration Association. 10. ACKNOWLEDGMENT. By checking the acceptance box and submitting the registration form, Deal Hunter acknowledges that Deal Hunter has read, understood, and agreed to be bound by this Agreement, and that this electronic acceptance constitutes a legally binding signature.
